Terms and conditions
What you can expect from me, and what I expect from you. In plain language, so you actually read it.
1. Who I am
Steirk LTD., handelend onder de naam steirk, gevestigd te 128 City Road, London EC1V 2NX, United Kingdom en ingeschreven bij Companies House in Engeland en Wales onder nummer (company number to follow). Btw-nummer: (to follow). Bereikbaar op hallo@steirk.be.
I work for clients in Belgium and the Netherlands, and invoice from the United Kingdom.
These terms apply to every proposal I issue and to every job that follows from it, unless we agree otherwise in writing.
2. Proposals and prices
A proposal stays valid for thirty days, unless another date is stated on it. After that date you can no longer approve it and I will draw up a new proposal at current prices. The price in it is the price, and covers what is described in that same proposal.
If you ask for work along the way that was not in it, we discuss that first and you get an addendum. I never start additional work without your approval.
3. How we start
A job starts as soon as you approve the proposal. There are two ways to do that: with the button on the quote page I send you a link to, or in writing, where an email is enough. If you approve through that page, I record when it happened and with which name, email address, IP address and browser. That is my proof that the work was commissioned; what I keep of that and for how long is set out in the privacy notice.
As standard I work with a deposit of 40 per cent of the total. That deposit is invoiced as soon as you approve, and I start work once it is paid. The remaining 60 per cent follows on delivery. If the proposal states a different split, that one applies.
I need input from you: copy, images, access and answers. If that does not arrive, the schedule moves with it. That is not a reproach, but it is a fact.
4. Timing
The timing in the proposal is a realistic estimate and I keep to it. If something threatens to run over, you hear about it in advance.
Delay caused by force majeure or by missing input on your side gives no right to compensation or termination.
5. Delivery and aftercare
On delivery you get the chance to check that everything is as agreed. Anything that deviates from the proposal I put right at no charge.
Anything asked for afterwards that is new or different is additional work. That is fine too, but then we agree it as in point 2.
6. Payment
Invoices are payable within fourteen days of the invoice date, unless another term is stated on the invoice.
You pay the deposit invoice before I start work. The final invoice follows on delivery.
In the event of late payment I may, after a reminder and a reasonable period, charge statutory interest and suspend the work until payment is made.
7. Who owns the result
Once everything is paid, the result is yours: the code, the copy and the design made specifically for you. The domain name and the hosting are in your name.
Existing building blocks, libraries and my own working methods remain mine or their original creators'. You get the right of use you need to keep everything running.
I may show the work in my portfolio, unless you object. Just say so, that is no problem.
8. What I do not promise
I build carefully, but I cannot guarantee Google rankings, visitor numbers or revenue. Anyone who does is not to be believed.
My liability is limited to the value of the job concerned. I am not liable for indirect loss, lost profit or data loss at third parties.
For third-party services (hosting, payment providers, external integrations) the terms of those parties apply.
9. Stopping
You can stop a job in progress. I charge for what has been done up to that point; the rest falls away.
I can stop a job if payment fails to arrive or if working together reasonably no longer works. In that case you still get what is finished.
10. Confidentiality
What you tell me about your business, your figures or your plans stays between us. After the work ends as well.
11. Data
How I handle personal data is set out in the privacy notice.
12. Complaints and governing law
Heb je een klacht, laat het mij eerst weten op hallo@steirk.be. In de meeste gevallen lossen we het samen op.
These terms are governed by the law of England and Wales. Disputes we cannot resolve between us belong before the competent courts of England and Wales.
If you are a consumer resident in the European Union, that choice does not deprive you of the protection of the mandatory rules of your own country. You can therefore also bring a dispute before the court where you live.
